Zusammenfassung

Die Arbeit untersucht Grundfragen der Kommanditistenhaftung in den Themenfeldern Einlageleistung, Einlagerückgewähr und Registerpublizität. Dabei möchte sie nicht nur kritische Bestandsaufnahme sein, sondern auch einen Beitrag zur Systembildung leisten. Von den Tatbeständen der Einlageleistung und Einlagerückgewähr hängt ab, ob der Kommanditist für die Schulden der KG haftet oder nicht. In den § 171 Abs. 1 Halbsatz 2, 172 Abs. 4 HGB erkennt der Autor ein einheitliches Prinzip der Vermögenstrennung, aus dem sich in jedem Einzelfall sachgerechte Lösungen ableiten lassen. Im Bereich der Registerpublizität geht es insbesondere darum, die unbeschränkte Haftung in der nicht eingetragenen KG nach § 176 HGB als Ausdruck des Prinzips unbeschränkter Vermögenshaftung zu verstehen, auf das sich die Dogmatik des Personengesellschaftsrechts in den letzten Jahren zurückbesonnen hat.
