Summary

Die Entscheidung des EU-Gesetzgebers, Rahmenbedingungen für Übernahmen zu schaffen und die gesetzlichen Vorschriften für Pflichtangebote europaweit einzuführen, signalisiert, dass die Pflichtangebotsregel in der Zukunft im europäischen Gesellschaftsrecht eine zentrale Rolle spielen wird. Da sich eine europaweite Umsetzung jedoch noch in der Anfangsphase befindet, scheint es an der Zeit, die Pflichtangebotsregel in seinen unterschiedlichen Erscheinungsformen zu untersuchen.

Die vorliegende Studie analysiert die rechtlichen Vorschriften zur Abgabe eines Pflichtangebots in vier EU-Mitgliedsstaaten, in denen diese Vorschrift bereits eingeführt wurde (Belgien, Frankreich, Deutschland und dem Vereinigten Königreich) und bietet praktische Lösungsansätze bei aufsichtsrechtlichen Mängeln unter Berücksichtigung der unterschiedlichen Rechtsauffassungen.

Die einschlägigen Konzepte werden zunächst im Rahmen des ökonomischen und historischen Hintergrunds, der zu den gesetzlichen Vorschriften für die Pflichtangebotsregel geführt hat, vorgestellt. In einem weiteren Schritt befasst sich die Studie mit einer umfassenden Analyse der Kernaspekte für Pflichtangebote.
